Markets regulator Sebi has kept the draft offer documents for Inox Clean Energy Ltd's initial public offering in abeyance. The company is looking to raise up to Rs 10,000 crore through this share sale.
Issue Structure
The proposed IPO includes a fresh issue of equity shares worth up to Rs 8,000 crore. It also features an offer-for-sale amounting to Rs 2,000 crore by promoter Devansh Jain.
Company Operations
The company had filed its draft papers with Sebi on September 29. The regulator updated the status on Thursday without specifying reasons for keeping the observations in abeyance. Inox Clean Energy operates an integrated renewable energy platform spanning power generation and solar manufacturing across India and Africa. Its independent power producer portfolio stood at 9.29 gigawatts as of August 31, 2026. This total includes 2.37 gigawatts of operational capacity and 0.80 gigawatts under construction. The firm also holds 2.99 gigawatts of pipeline capacity and 3.13 gigawatts of future capacity. Its solar manufacturing business has six gigawatts of operational module capacity across India and the United States, alongside solar cell manufacturing capacity under construction in both regions. The firm plans to use fresh issue proceeds mainly to repay certain borrowings and fund general corporate needs.
Market Standing
This proposed share sale could rank among the largest private-sector renewable energy IPOs in India. Post-listing, the firm will compete with peers like Adani Green Energy, NTPC Green Energy, ACME Solar Holdings, Waaree Energies, Premier Energies, Clean Max Enviro Energy Solutions, and JSW Energy. The firm belongs to the INOXGFL Group, which already has three listed entities including Gujarat Fluorochemicals, Inox Wind, and Inox Green Energy Services. Nuvama Wealth Management, CLSA India, Emirates NBD Capital India, HSBC Securities and Capital Markets India, ICICI Securities, IIFL Capital Services, JM Financial, Motilal Oswal Investment Advisors, and UBS Securities India are the book-running lead managers for the issue.
Context
When market regulators keep draft IPO papers in abeyance, it typically means the review process is paused while regulators seek clarifications or additional details from the company or its bankers. Such regulatory pauses are a routine part of public market reviews in India and do not automatically mean the share sale is cancelled. Renewable energy firms in India frequently tap public markets to fund large capital-intensive green power projects and reduce debt.
