Five Adani group companies have paid a total of Rs 1.5 crore to settle proceedings with the Securities and Exchange Board of India. SEBI released an order on September 22, 2026, regarding this settlement.
The Violations
The case started after allegations by the short seller Hindenburg about undisclosed related party transactions and rule breaks. SEBI found that Adani Enterprises Ltd did not disclose certain related party deals between its subsidiary Adani Estates Private Limited and Vakoder Investment Ltd in its annual report for the 2013 financial year. Four other firms—Adani Total Gas Ltd, AWL Agri-Business Ltd, Adani Green Energy Ltd, and Adani Energy Solutions Ltd—also broke listing rules and stock exchange bye-laws. Some firms had audit reports signed by audit firms that did not hold valid peer review certificates.
The Settlement
SEBI had sent show cause notices to the five companies on February 15, 2024. The firms applied to settle the matter without admitting or denying the claims. A High Powered Advisory Committee recommended the settlement terms. Adani Enterprises paid Rs 76.05 lakh, Adani Green Energy paid Rs 45.50 lakh, and the remaining three companies paid Rs 9.75 lakh each.
