UPDATE - follow-up to Anup Bagchi named HDFC Managing Director, CEO: Anup Bagchi will take charge as the new Managing Director and Chief Executive Officer of HDFC Bank on October 27, after receiving clearance from the Reserve Bank of India.

Leadership Transition

Bagchi succeeds Sashidhar Jagdishan, whose current term ends on October 26 after he decided not to seek reappointment. The Reserve Bank of India approved Bagchi's appointment and remuneration for a three-year period under the Banking Regulation Act. Following a recommendation from the Governance, Nomination and Remuneration Committee, the HDFC Bank board appointed Bagchi as an Additional Director effective October 2 until shareholder approval. Banking sources noted that the board had forwarded the names of Bagchi and Deputy Managing Director Kaizad Bharucha to the Reserve Bank for the post. Bagchi holds a management degree from the Indian Institute of Management, Bangalore, and an engineering degree from the Indian Institute of Technology, Kanpur. Additionally, Livemint reported that HDFC Bank's American Depositary Receipts jumped 5.4 percent in Thursday's intraday trade to reach a high of $23.55 on the New York Stock Exchange following the announcement.

Background and Experience

Bagchi moves to HDFC Bank from ICICI Prudential Life Insurance, where he serves as Managing Director and CEO. Under his leadership, the life insurer crossed Rs 10,000 crore in Annualised Premium Equivalent for the first time in fiscal year 2025, with APE growing 15 percent year-on-year to Rs 10,407 crore and profit after tax increasing nearly 40 percent to Rs 1,189 crore. He has over three decades of financial services experience, having joined the ICICI Group in 1992 and held roles including CEO and MD of ICICI Securities and Executive Director of ICICI Bank from 2017 to 2023. During his time at ICICI Bank, he oversaw retail, business, rural, and wholesale banking, and helped build the bank's retail mortgage portfolio past Rs 2 trillion.

Governance and Challenges

Bagchi joins the bank during a period marked by governance questions and stock pressure. Earlier this year, part-time Chairman Atanu Chakraborty resigned over concerns not aligned with his personal values, though external law firms later gave the bank a clean chit. The Indian Express also reported that the audit committee ordered an internal vigilance investigation into Rs 45 crore in payments made to the Maharashtra State Road Development Corporation during fiscal years 2024 and 2025. Former Chief Election Commissioner Rajiv Kumar recently became the Chairman of the bank. Furthermore, Livemint noted that the stock fell 27.2 percent in 2026 prior to the announcement, adding pressure to frontline indices.

Context

Leadership changes at major financial institutions often prompt shifts in investor sentiment and operational focus. This transition follows a succession path that previously saw leadership pass from Aditya Puri to Sashidhar Jagdishan in 2020.
