Sebi and Investment Bankers Discuss Permanent Rule Change for IPO Sizes
Reported by Ishita Mukherjee (Staff Writer) · Livemint - Markets ·
The Securities and Exchange Board of India and the Association of Investment Bankers of India are discussing changes to fundraising norms to let companies alter initial public offering sizes more easily. The banking association has asked the regulator to change the current twenty percent threshold for filing a fresh draft red herring prospectus when issue sizes change. The proposed change would raise this limit to fifty percent to match the rule for offers for sale.
Recent Examples
Several companies have recently changed their issue sizes due to shifting market conditions. Oyo parent Oravel Stays cut its fresh issue to thirty-three billion five hundred million rupees from sixty-six billion five hundred million rupees in an addendum filed on twenty-six October. Hero Motors trimmed its total size to ten billion rupees in August. Fractal Analytics reduced its public offering size by more than forty percent to twenty-eight billion three hundred million rupees in February.
Market Context
Companies planning to tap the primary market are currently navigating high volatility and uncertain investor appetite. The regulator temporarily relaxed the threshold to fifty percent in April and extended this relief until March 2027. Meanwhile, the Nifty fifty index has declined about ten percent this year amid global tensions and foreign outflows totalling two trillion nine hundred fifty billion rupees according to the National Securities Depository Limited.
Context
Draft red herring prospectuses are preliminary registration documents that companies planning to list on stock exchanges must submit to market regulators for review. Market regulators use these filings to ensure that issuers provide adequate financial disclosures to protect public investors before shares are sold publicly.
ExplainerWhy this matters
What Happened
Companies planning to launch initial public offerings must currently file a new draft red herring prospectus if their planned issue size shifts by more than twenty percent. The Association of Investment Bankers of India has asked the Securities and Exchange Board of India to permanently raise this limit to fifty percent.
Why It Matters
Preparing a fresh regulatory prospectus requires significant time, legal expense, and administrative effort. Allowing broader flexibility lets firms adjust their fundraising targets in response to sudden stock market drops or shifting investor demand without having to restart their paperwork from scratch.
What Happens Next
The regulator has extended a temporary relaxation until March 2027 while discussions on a permanent framework continue. Observers will watch to see if permanent rule changes are formally adopted and what disclosure safeguards the regulator attaches to larger size revisions.
